Zhidu Co. Receives Warning Letter from Guangdong Securities Bureau on May 22 for Disclosure Violations

According to an official announcement on May 22, Zhidu Co. received a warning letter from the Guangdong Securities Regulatory Bureau for failing to fully disclose its control structure, timely disclose related-party transactions, and properly account for such transactions. Seven company executives, including former chairman Lu Hongda, former CEO Chen Zhifeng, and CFO Liu Wei, were cited for failing to fulfill their fiduciary duties. The bureau imposed an administrative warning measure on the company and the responsible parties.
